Revenue concentration in H2 and execution risk. Approximately 70% of annual revenue is recognized in H2, with Q4 alone typically representing over 40% of annual totals.¹⁴ The FY2025 revenue miss was caused by an H2 manufacturing shortfall. Any recurrence — including logistics disruptions (management cited a Vietnam customs issue and a Spanish port equipment shortage as Q2 FY2026 factors) — could cause another shortfall against the aggressive FY2026 guide.¹⁴
AESC/Fixx Energy supply continuity risk. The Tennessee cell facility changed ownership on March 31, 2026 from AESC to Fixx Energy (Lombard Capital). Fixx Energy is a new operator of specialized manufacturing infrastructure. Any production interruption could disrupt domestic content eligibility and delivery schedules for U.S. projects.¹⁵
Data center pipeline conversion uncertainty. The 12 GWh data center pipeline is identified but not yet converted to purchase orders beyond the initial expected Q3 FY2026 order.¹⁴ Data center customers have complex qualification processes and evolving power management requirements. Conversion rates and margin structures for this segment remain unestablished.
Battery price deflation and contract pricing pressure. Average selling prices for battery cells have declined approximately 50% over two years and are expected to continue falling. This creates ongoing pressure in new contract bids, and any gap between committed contract pricing and input cost declines can compress realized margins.¹⁴
Negative GAAP FCF and credit facility reliance. FY2025 free cash flow was -$175M, and the company drew $368.6M from its credit facility during FY2025.⁵ The $900M liquidity target for FY2026 year-end is contingent on H2 delivery execution and cash collection. Sustained delivery failure would increase reliance on the credit facility and could require additional financing.
Controlling shareholder selling pressure. Siemens and AES executed a secondary offering of 20 million shares in May 2026 and retain substantial ownership stakes.²¹ Further monetization at scale could weigh on the stock, and the controlling shareholder structure limits minority investor influence over strategic decisions.
