1. Debt burden relative to operating income (existential if not resolved). As of September 30, 2025, the company carried approximately $1.8 billion in outstanding debt.⁹ Net interest expense for the nine months ended September 30, 2025 was $91.2 million — exceeding operating income for the year ended December 31, 2023 ($23.3 million) in a single nine-month period.¹ The use of IPO proceeds is primarily debt repayment, but unless operating income grows significantly, interest coverage will remain thin. In November 2024, the company borrowed an additional $225 million incrementally under an amended credit facility,¹ increasing the debt load less than two years before the IPO.

2. Structural dependence on Apple and Google platform rules (existential). Apple's App Tracking Transparency (ATT) framework, implemented in 2021, materially degraded the effectiveness of mobile user acquisition advertising by limiting the availability of device-level identifiers. Liftoff's Cortex model was built to operate in a privacy-constrained environment, but any further tightening of ATT policies, changes to the Google Privacy Sandbox on Android, or adverse changes to app store distribution rules could directly impair the company's ability to deliver advertiser ROAS targets — which is the core value proposition of the platform.¹

3. Contingent earn-out liability tied to Blackstone's exit (governance/financial risk). A contingent consideration liability, measured at fair value each reporting period, was remeasured upward by $18.3 million in the nine months ended September 30, 2025.¹ The terms of this obligation create an unusual incentive structure:

This means the earn-out becomes payable if Blackstone achieves a successful IPO exit — precisely the event this offering is designed to enable. The revaluation will continue to introduce P&L volatility until settled, and the settlement itself may result in incremental share issuance to former preferred shareholders (General Atlantic).

4. Platform migration execution risk (moderate headwind). The transition from legacy platforms to Cortex, while substantially complete, eliminated $101.1 million of annual Other revenue between FY2023 and 9M 2025.¹ Liftoff successfully replaced this volume with Core Advertising growth — but the transition compressed total revenue growth in FY2024 to 10% even as the underlying platform grew 30%. Future platform changes or technology failures could produce similar temporary disruptions.

5. International regulatory and data privacy risk (structural headwind). Over 64% of revenue for the nine months ended September 30, 2025 was generated outside the Americas.¹ This exposes the company to GDPR enforcement in Europe, emerging AI regulation across multiple jurisdictions, evolving data localization requirements, and U.S.-China trade tensions that could affect both advertiser demand and data processing capabilities. The S-1 lists compliance with the EU AI Act, domestic data protection laws, and cross-border bulk data transfer regulations as material ongoing obligations.¹

6. Blackstone controlled-company status (governance risk). Post-IPO, Blackstone will retain majority voting control, qualifying Liftoff as a controlled company under Nasdaq rules and exempting it from requirements including an independent nominating committee and majority-independent board composition.¹ Minority public shareholders will have limited ability to influence board composition, executive compensation, or strategic direction. Lockup periods, specific early-release triggers, and the timeline of Blackstone's planned disposition are not fully specified in the S-1.

7. Competitive pressure from AppLovin (operational risk). AppLovin operates an essentially identical platform architecture (unified DSP + SSP with AI-powered optimization) at eight times Liftoff's scale and with substantially superior GAAP profitability and R&D resources. AppLovin generated $5.48 billion in FY2025 revenue⁶ versus Liftoff's $685.7 million,² and is expanding aggressively into new verticals including connected TV and e-commerce. Liftoff's ability to defend and grow its publisher SDK base against a well-capitalized incumbent with a comparable technology approach is a central long-term question.
