Geographic revenue concentration. Israel accounted for 61% of FY2025 revenue.⁸ A change in Israeli defense procurement priorities, regional de-escalation reducing C-UAS urgency, U.S. foreign policy constraints on Israeli military funding, or disruption to Airobotics' IDF customer relationships could materially impair the revenue base. Both the 4M Defense and INDO Earth Moving contracts are Israeli Ministry of Defense programs.
Massive share dilution. Shares outstanding have increased from approximately 42 million weighted average in FY2022 to approximately 482 million currently — an 11-fold expansion in roughly three years.²¹¹ The $1.8 billion raised since June 2025 was funded primarily through equity issuances, and the warrant liability recorded at $489 million at year-end 2025 will continue to generate GAAP earnings volatility and potential further dilution as warrants are exercised or new capital is raised.⁶
Acquisition integration risk. More than ten acquisitions across five countries completed within twelve months represents an integration workload disproportionate to Ondas' operational scale. Revenue synergy assumptions embedded in FY2026 guidance require each acquired business to be commercially productive within months of closing — an assumption that depends on customer relationships, supply chains, and delivery infrastructure transferring intact through M&A transactions.
Back-half 2026 revenue concentration. Management has stated that investment will be front-loaded in H1 2026 with the revenue ramp concentrated in H2 2026.⁶ This creates a narrow execution window. If Q3 and Q4 2026 deliveries slip due to supply chain delays, customer schedule changes, or integration friction, full-year guidance shortfall is likely and provides limited time for course correction.
Non-cash accounting complexity. The $82.2 million non-cash warrant revaluation charge in Q4 2025 inflated GAAP net loss to $101 million for that quarter alone.⁶ The warrant liability (recorded at $489 million at year-end 2025) is marked to market using Black-Scholes each quarter, tied to stock price and volatility assumptions rather than operating performance. This will introduce substantial GAAP net income volatility in 2026 and complicates standard earnings analysis.
Path to profitability is long and requires continued capital. Management targets company-wide EBITDA profitability by Q1 2028 — nearly two years away. FCF has been negative in the range of $34–41 million annually for four consecutive years, and adjusted EBITDA loss worsened slightly in FY2025 despite the revenue surge.⁵¹⁵ If operating losses require additional equity raises before 2028, the dilution trajectory would extend further.
