There is no evidence yet that the 30,000-unit target for FY2026 is being executed against on schedule.
Short-seller allegations: Wolfpack Research's April 2026 report characterized POET as a stock promotion, alleged payments of approximately $100,000 to social media influencers, and highlighted management equity enrichment against negligible commercial progress.¹⁵ POET disputed the framing, but the underlying data point — SG&A expenses representing thousands of percent of revenue — is factual.⁶ Wolfpack stated publicly that it expects the market will render a verdict on POET's commercial execution by 2027.
Dilution risk: POET's weighted average diluted shares grew from 46.6 million in Q1 2024 to 93.2 million by Q4 2025 — a doubling in six quarters through equity raises.² At the current $15.10 price and $1.84 billion market cap, approximately 121.9 million shares are outstanding, representing a further 31% increase from year-end 2025 levels.⁸ Additional capital raises to fund the commercialization ramp will likely add further dilution at the pace the company has historically required.
Customer concentration: With FY2025 revenue of $1.07 million and the largest known order at $5 million-plus, POET's commercial base is extremely narrow. Stated revenue guidance for FY2026 depends on a single confirmed production order, delivery to Celestial AI (now Marvell), and delivery to Adtran. Any delay or scope change in these relationships could materially affect the year's revenue trajectory.
PFIC classification for prior years: While POET announced plans to provide QEF election data for FY2025 and to redomicile to the U.S., the PFIC classification for FY2025 (and potentially prior years) creates ongoing tax complexity for U.S. shareholders who did not previously make annual QEF elections.¹⁵ This may constrain the institutional investor base until the redomicile shareholder vote resolves the issue formally.
Manufacturing scale-up execution: The transition from prototype-level optical engine production to 30,000-plus annual unit volumes requires supply chain development, assembly yield improvement, and quality management systems that POET has not previously demonstrated at commercial scale. The company's 53-person workforce must expand substantially, and production partnerships with LITEON and others must execute on promised timelines for revenue targets to be realized.¹
